By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site. These Terms constitute a legally binding agreement between you and RadixBay. Please read them carefully.

1. Acceptance of terms

1.1 Agreement

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Site.

1.2 Changes to terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this page. For material changes, we may provide notice through the Site, email, or other appropriate means. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

Certain features, tools, or services on the Site may be subject to additional terms and conditions. Where additional terms apply, we will make them available to you, and they will govern your use of those specific features or services.

2. Use of the site

2.1 Permitted use

You may use the Site for lawful purposes only, including browsing information about our services, requesting information or consultations, using tools such as the AI Opportunity Audit, subscribing to newsletters or RBLabs updates, applying for employment, and downloading resources or content we make available.

2.2 Prohibited use

You agree not to:

Use the Site in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to the Site, servers, or networks
Interfere with or disrupt the Site’s operation or security
Use automated systems (bots, scrapers, crawlers) to access the Site without permission
Transmit viruses, malware, or other harmful code
Impersonate RadixBay, our employees, or another user
Collect or harvest information about other users
Submit false, misleading, or fraudulent information through forms or tools
Use the Site to send spam or unsolicited communications
Reverse engineer, decompile, or disassemble any part of the Site
Remove or modify any copyright, trademark, or proprietary notices

2.3 Account security

If you create an account or access protected areas of the Site, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Intellectual property rights

3.1 RadixBay ownership

The Site and its entire contents, features, and functionality — including but not limited to text, graphics, logos, images, software, code, tools, and design — are owned by RadixBay, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes the RadixBay name, logo, and trademarks; website design, layout, and user interface; content, blog posts, white papers, and case studies; RBLabs innovations, tools, and extensions; software, code, and technical documentation; and the AI Opportunity Audit tool and generated content templates.

3.2 Limited license

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes, download and print content for personal or internal business use only, and use RBLabs tools and innovations subject to their specific license terms. This license does not include any resale or commercial use of the Site or its content, collection, reproduction, or distribution of content for commercial purposes, derivative use of the Site or its content, or use of data mining, robots, or similar data gathering and extraction tools.

3.3 Trademarks

RadixBay and RBLabs are trademarks of RadixBay. Other trademarks, service marks, and logos used on the Site (including Salesforce, HaloITSM, BillingPlatform, Oracle, Microsoft Azure, AWS) are the property of their respective owners. You may not use any RadixBay trademarks without our prior written permission.

3.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Site or our services, you grant RadixBay a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution to you.

4. User-submitted content

4.1 Information you provide

When you submit information through the Site (via contact forms, AI Opportunity Audit, job applications, newsletter signups, etc.), you represent and warrant that you have the right to submit the information, the information is accurate, complete, and not misleading, it does not violate any third-party rights or applicable laws, and you consent to our use of the information as described in our Privacy Policy.

4.2 License to user content

By submitting testimonials, reviews, or other content to the Site, you represent RadixBay a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform that content in connection with our business.

4.3 No confidential information

Do not submit confidential or proprietary information through publicly accessible parts of the Site. Any information submitted through public forms, tools, or comment sections will not be treated as confidential. For confidential discussions, please contact us directly to establish appropriate confidentiality protections.

5. AI Opportunity Audit tool

5.1 Purpose and scope

The AI Opportunity Audit tool is an interactive assessment that provides general recommendations based on information you submit about your technology stack and business challenges.

Not professional advice: the AI Opportunity Audit provides general informational content only and does not constitute professional consulting, implementation advice, or recommendations specific to your organization.
No warranties: RadixBay makes no warranties, express or implied, about the accuracy, completeness, reliability, or suitability of the audit results for your particular situation.
Consultation required: actual implementation, cost estimates, and detailed recommendations require a formal consulting engagement and are subject to separate agreement.
No obligation: completing the AI Opportunity Audit does not obligate you to engage RadixBay’s services, nor does it obligate RadixBay to provide services.

5.2 Accuracy of information

You agree to provide accurate information about your technology environment and understand that inaccurate information will result in less relevant recommendations. Results are based solely on the limited information you provide.

5.3 Generated content

The PDF roadmap generated by the AI Opportunity Audit is created specifically for you based on your inputs, intended for your internal use and evaluation, not a binding proposal or statement of work, subject to change based on further discovery and analysis, and property of RadixBay (you receive a license to use it for evaluation purposes).

6. RBLabs innovations

6.1 RBLabs tools and extensions

RBLabs is RadixBay’s innovation center that develops tools, browser extensions, and accelerators (collectively, “RBLabs Innovations”). Examples include the HaloITSM Advanced Search Chrome Extension and the Invoice Template Accelerator (ITA).

6.2 Separate license terms

Each RBLabs Innovation may have its own specific license agreement, terms of use, or end-user license agreement (EULA). By downloading or using an RBLabs Innovation, you agree to those specific terms in addition to these general Terms of Use.

6.3 Some RBLabs Innovations, such as the Invoice Template Accelerator (ITA), are available by paid subscription. Subscription terms, pricing, and cancellation procedures are governed by the specific terms provided at the time of purchase and any applicable subscription agreement. Fees paid for RBLabs Innovation subscriptions are non-refundable except as required by applicable law or as stated in the specific subscription agreement.

6.4 Beta products

Some RBLabs Innovations may be marked as “beta,” “preview,” or “experimental.” These products are provided “as is” with no warranties, may contain bugs or errors, may be modified or discontinued without notice, should not be used in production environments without appropriate testing, and are subject to feedback and improvement.

6.5 No resale or redistribution

RBLabs Innovations are provided for your internal business use only. You may not resell, sublicense, or redistribute them; modify, reverse engineer, or create derivative works; remove or alter any proprietary notices or branding; or use them to develop competing products.

7. Third-party links and services

7.1 External links

The Site may contain links to third-party websites, applications, or services, including platform partner sites (Salesforce, Oracle, Microsoft, HaloITSM, BillingPlatform), social media platforms (LinkedIn, X, Facebook), client websites or case study references, industry resources and publications, and service provider websites.

7.2 No endorsement

RadixBay does not control, endorse, or assume responsibility for third-party websites or services. Links are provided for your convenience only.

7.3 Third-party terms

Your use of third-party websites is governed by their own terms of use and privacy policies. We encourage you to read those terms carefully.

7.4 Platform partner information

Information about Salesforce, HaloITSM, BillingPlatform, Oracle, Azure, and AWS on our Site is based on our understanding and experience with these platforms, subject to change as platforms evolve, not endorsed or verified by the platform vendors, and not a substitute for official platform documentation. We are partners with these platforms but do not speak on their behalf.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT, TOOLS, SERVICES, AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, RADIXBAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND SECURITY.

Information on the Site about our consulting, implementation, and managed services is general in nature, does not constitute a binding offer or proposal, requires separate written agreement for actual service delivery, and may not reflect current pricing, timelines, or deliverables. Formal consulting engagements are governed by separate Master Services Agreements, Statements of Work, or other written contracts. We do not guarantee specific outcomes from using the Site or our services — actual results depend on many factors specific to your organization.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RADIXBAY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, ANY CONTENT, TOOLS, OR SERVICES ON THE SITE, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, OR ANY OTHER MATTER RELATING TO THE SITE OR THESE TERMS.

IN NO EVENT SHALL RADIXBAY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES — IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless RadixBay, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use or misuse of the Site, your violation of any rights of another party, your violation of any applicable laws or regulations, information or content you submit to the Site, or your breach of any representations or warranties.

11. Service information and agreements

Information on the Site about RadixBay’s services, capabilities, pricing, or timelines is provided for informational purposes only, does not constitute a binding offer or proposal, is subject to change without notice, and requires separate written agreement for actual engagement. Consulting, implementation, and managed services are governed by Master Services Agreements (MSAs), Statements of Work (SOWs), Data Processing Agreements (DPAs), and other written contracts — not Site content.

Use of the Site or submission of inquiries does not create a client-consultant relationship, partnership, joint venture, agency relationship, or any fiduciary duty. Such relationships are established only through written agreement.

12. Privacy and data protection

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect your personal information. By submitting information through the Site, you consent to our collection and use of that information as described in the Privacy Policy, represent that you have authority to provide the information, and acknowledge that we may use the information to contact you about our services.

13. Copyright infringement claims

RadixBay respects intellectual property rights. If you believe content on the Site infringes your copyright, please provide our Copyright Agent with the following: identification of the copyrighted work claimed to be infringed, identification of the infringing material with sufficient detail to locate it, your contact information (name, address, phone, email), a statement of good faith belief that use is not authorized, a statement that the information is accurate and you are authorized to act, and your physical or electronic signature.

14. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina. You consent to the personal jurisdiction of these courts.

TO THE EXTENT PERMITTED BY LAW, YOU AND RADIXBAY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF THESE TERMS OR THE SITE. ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Before filing any formal legal action, you agree to first contact us at info@radixbay.com with ‘Legal Request’ in the subject line and allow 30 days for us to attempt to resolve the dispute informally.

15. Termination

We reserve the right to suspend or terminate your access to the Site at any time with or without cause, remove or disable content that violates these Terms, take legal action against users who violate these Terms, and modify or discontinue the Site or any features without notice. Upon termination, your right to use the Site immediately ceases. Provisions that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and governing law — will remain in effect.

16. General provisions

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and RadixBay regarding use of the Site. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver. You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction. RadixBay is not liable for any failure or delay in performance due to causes beyond our reasonable control.
